LLC registration in 2023, lawyer's advice
LLC registration can be done with a notary or a state registrar.
LLC registration is exempt from paying an administrative fee, unlike registration of changes in an LLC.
However, it is necessary to pay for the notary's services for notarization of:
• minutes or decision of the founders of the LLC;
• charter of the LLC;
• Notarized power of attorney for the representative (if the registration documents are submitted by the representative);
The protocol/decision on the establishment of an LLC in Ukraine must be set out on a special notarial form, and the LLC charter - on plain paper. In this case, all documents must be separately stitched and numbered.
If the participants of the new limited liability company are other legal entities and foreign companies, it is additionally necessary to prepare the following documents:
1. The decision of the authorized body of the legal entity on the registration of the new LLC in Ukraine;
2. An extract from the trade register confirming the registration of a foreign legal entity.
3. Power of attorney from a foreign legal entity.
All documents from a foreign legal entity must also be stitched, numbered, apostilled and have a notarized translation into Ukrainian.
In some cases, when the legislation of another country does not allow the affixing of an apostille, it is necessary for the documents to undergo consular legalization before Ukraine.
In some cases (at the request/unwillingness of the registrar), the following may be required:
• A notarized translation of the charter of a foreign legal entity with apostille;
• A notarized translation of the decision of the authorized bodies of a foreign legal entity on the establishment of a limited liability company in Ukraine with an apostille;
Also, along with the above documents, it is necessary to submit a registration form.
At will, an application for registration may be submitted VAT payer or single tax payer.
Both applications to tax authorities have their own characteristics. If they are not taken into account, you can get a refusal to register. It is necessary to check the possibility of registration and the grounds for refusal in advance. This will save time.

If the beneficial owners do not own the company directly, then it is necessary to additionally indicate data on all legal entities (name, address, registration number) along the chain to the ultimate beneficial owner.
6. Types economic activity or a description of the planned activity for coordinating the KVED codes.
7. Information about the LLC participants (scanned copy of the passport and identification code; name and registration number for legal entities).
8. Information about the distribution of shares between participants in the authorized capital of the LLC.
